CONSTRUCHAIN GLOBAL LTDA

Version: 1.1
Version 1.1 updates the factual disclosures of these Terms (provider identity, contacts, data protection statements, integrations and the MCP connector). Specific contracts between ConstruChain and a customer organization, and rights guaranteed by law, remain applicable and are not reduced by this update.
1. Introduction and Acceptance of Terms
Section titled “1. Introduction and Acceptance of Terms”Welcome to ConstruChain Vision (“Service”), a cloud-based Building Information Modeling (BIM) and construction intelligence platform operated by CONSTRUCHAIN GLOBAL LTDA, Brazilian CNPJ 60.740.421/0001-80, with address at Avenida Saul Nonnenmacher, 250, Ipanema, Porto Alegre/RS, CEP 91751-220, Brazil (“ConstruChain,” “we,” “us,” or “our”). The support and privacy channel is support@construchain.com.br.
By accessing or using our Service, creating an account, or clicking “I Accept” or similar acknowledgment, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
AGE RESTRICTION: You must be at least 18 years old to use this Service.
2. Definitions
Section titled “2. Definitions”- “Account” means the user account created to access the Service.
- “Content” means any data, files, documents, models, or other materials uploaded, stored, or processed through the Service.
- “Personal Data” means any information relating to an identified or identifiable natural person.
- “Subscription” means the paid or free plan selected by the User to access the Service.
- “Workspace” means a collaborative environment within the Service where Users can manage projects and share Content.
- “Third-Party Services” means external services integrated with ConstruChain, including but not limited to Autodesk Construction Cloud.
- “MCP Connector” means the ConstruChain Vision connector for AI platforms (such as ChatGPT or Claude) that you may authorize to read model property data and, at your request, publish dashboards.
3. Account Registration and Security
Section titled “3. Account Registration and Security”3.1 Account Creation
Section titled “3.1 Account Creation”To use certain features of the Service, you must create an Account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your Account information.
- Keep your password confidential and secure.
- Accept responsibility for all activities that occur under your Account.
3.2 Account Types
Section titled “3.2 Account Types”- Individual Accounts: For personal use by a single User.
- Team/Enterprise Accounts: For organizations with multiple Users, subject to additional terms.
3.3 Account Security
Section titled “3.3 Account Security”You must immediately notify ConstruChain of any unauthorized use of your Account or any other breach of security. ConstruChain will not be liable for any loss or damage arising from your failure to protect your Account credentials.
4. Subscription Plans and Billing
Section titled “4. Subscription Plans and Billing”4.1 Subscription Tiers
Section titled “4.1 Subscription Tiers”ConstruChain offers various subscription plans, including free and paid tiers. Features, storage limits, and capabilities vary by plan. Current plan details are available at /plans.
4.2 Billing and Payment
Section titled “4.2 Billing and Payment”- Paid subscriptions are billed in advance on a monthly or annual basis via invoice or bank transfer (boleto).
- All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
- You agree to pay all applicable fees upon receipt of the invoice.
4.3 Price Changes
Section titled “4.3 Price Changes”ConstruChain reserves the right to modify pricing at any time. Price changes for existing subscriptions will take effect upon the next billing cycle, with at least 30 days’ prior notice.
4.4 Free Trials
Section titled “4.4 Free Trials”Free trial periods, if offered, are subject to specific terms communicated at the time of enrollment. At the end of a trial, your Account may be converted to a paid subscription or downgraded to a free tier.
5. Acceptable Use Policy
Section titled “5. Acceptable Use Policy”5.1 Permitted Use
Section titled “5.1 Permitted Use”You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for construction project management, BIM visualization, and related professional activities.
5.2 Prohibited Conduct
Section titled “5.2 Prohibited Conduct”You agree NOT to:
- Use the Service for any illegal purpose or in violation of any applicable laws.
- Upload, transmit, or store any Content that infringes intellectual property rights.
- Attempt to gain unauthorized access to any part of the Service or its systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to transmit malware, viruses, or other malicious code.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated systems (bots, scrapers) to access the Service without authorization.
- Share Account credentials with unauthorized third parties.
- Use the Service to store or process sensitive personal data beyond what is necessary for construction project management.
5.3 Enforcement
Section titled “5.3 Enforcement”ConstruChain reserves the right to suspend or terminate Accounts that violate this Acceptable Use Policy, with or without notice.
6. Intellectual Property Rights
Section titled “6. Intellectual Property Rights”6.1 ConstruChain’s Intellectual Property
Section titled “6.1 ConstruChain’s Intellectual Property”The Service, including its software, design, features, documentation, and all related intellectual property, is owned by ConstruChain and protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights in the Service.
6.2 Your Content
Section titled “6.2 Your Content”You retain ownership of Content you upload to the Service. By uploading Content, you grant ConstruChain a non-exclusive, worldwide, royalty-free license to use, store, process, and display your Content solely for the purpose of providing and improving the Service.
6.3 Feedback
Section titled “6.3 Feedback”If you provide feedback, suggestions, or ideas about the Service, ConstruChain may use such feedback without any obligation to compensate you.
7. Data Protection and Privacy
Section titled “7. Data Protection and Privacy”7.1 Privacy and Cookies Policy
Section titled “7.1 Privacy and Cookies Policy”Our collection and use of Personal Data is governed by our Privacy Policy, available at /privacy-policy, and our Cookies Policy, available at /cookies-policy. The processing of personal data is described in the Privacy Policy. When an activity depends on consent, it will be requested specifically. You warrant that the data you provide is accurate.
7.2 Data Processing
Section titled “7.2 Data Processing”ConstruChain processes data as a “data processor” on behalf of Users who are “data controllers” under applicable data protection laws.
7.3 Applicable Law, Data Subject Rights and International Transfers
Section titled “7.3 Applicable Law, Data Subject Rights and International Transfers”We process Personal Data in accordance with the Brazilian General Data Protection Law (LGPD) and, where applicable, other data protection laws. Processing relies on the performance of the contract, compliance with legal obligations and the other legal bases applicable to each purpose.
- Data Subject Rights: You may request confirmation of processing, access, correction, anonymization, blocking or deletion in the applicable cases, information about sharing, portability as regulated, objection and review of automated decisions when applicable, and withdrawal of consent when consent is the legal basis, under the conditions and exceptions of the applicable law. We do not sell Personal Data.
- International Transfers: Service providers, integrations and connected AI platforms may process data outside Brazil. International transfers will observe the hypotheses of the applicable law; details are available through the privacy channel.

7.4 Data Security
Section titled “7.4 Data Security”ConstruChain applies technical and administrative security measures to protect your data, including encryption in transit, encryption at rest provided by the storage infrastructure, access controls and security reviews. These measures do not constitute a guarantee of absolute security.
7.5 Data Retention
Section titled “7.5 Data Retention”Account data, Content, audit records and backups are retained as necessary to provide the Service, follow the organization’s contract and meet legal obligations or the protection of rights, as described in the Privacy Policy. Deactivating a User, revoking an integration and terminating the contract have different effects; do not assume immediate deletion after leaving the Account. Deletion commitments assumed in a specific contract, or in an earlier version of these Terms accepted by you, remain applicable according to their terms.
8. Third-Party Integrations
Section titled “8. Third-Party Integrations”8.1 Autodesk Integration (Optional)
Section titled “8.1 Autodesk Integration (Optional)”The Service can optionally integrate with Autodesk Construction Cloud and other Autodesk products. Your use of Autodesk integrations is subject to Autodesk’s terms of service and privacy policy. Native IFC files can be uploaded and processed by ConstruChain without Autodesk, where that feature is enabled for your Workspace; a dashboard linked to the 3D viewer requires an Autodesk-processed model.
8.2 Other Integrations
Section titled “8.2 Other Integrations”ConstruChain may offer integrations with other third-party services. Your use of such integrations is subject to the respective third-party terms and privacy policies. ConstruChain is not responsible for the practices of third-party services.
8.3 API Access
Section titled “8.3 API Access”If you access the Service via API, you agree to comply with our API documentation and rate limits. API keys must be kept confidential.
8.4 MCP Connector and AI Platforms
Section titled “8.4 MCP Connector and AI Platforms”The MCP Connector provides four tools. Three of them (list models, get model schema, query model) read property data of models in the Workspaces you are authorized to access and do not modify models or geometry. The fourth (publish dashboard) creates a dashboard in Vision only when you request it; an existing dashboard is replaced only when you ask and its dashboard identifier is provided.
Dashboards are created with workspace visibility by default; “members” and “public” visibilities exist. A public dashboard is shareable by URL. The connector creates a public dashboard only when you explicitly request it; changing an existing dashboard to public inside Vision is restricted to workspace owners. Publication does not by itself mean public access.
When you authorize the MCP Connector, review on the authorization screen what the connection may access, and connect only platforms and Workspaces approved by your organization. Results you request are sent to the AI platform you chose and are subject to its terms and settings; review generated answers before relying on them. Revoking the authorization, in Vision or in the AI platform, prevents future access by that connection but does not remove results already sent to the platform.
9. Service Availability

Section titled “9.1 Availability”ConstruChain strives to maintain high Service availability but does not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.
9.2 Service Level Agreement (SLA)
Section titled “9.2 Service Level Agreement (SLA)”Enterprise customers may have specific SLAs as part of their subscription agreement. Standard users are not covered by an SLA.
9.3 Force Majeure
Section titled “9.3 Force Majeure”ConstruChain is not liable for any failure or delay in providing the Service due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet outages.
10. Limitation of Liability

Section titled “10.1 Disclaimer of Warranties”THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Damages
Section titled “10.2 Limitation of Damages”TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSTRUCHAIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
10.3 Cap on Liability
Section titled “10.3 Cap on Liability”CONSTRUCHAIN’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CONSTRUCHAIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.4 Essential Purpose
Section titled “10.4 Essential Purpose”THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
11. Indemnification
Section titled “11. Indemnification”You agree to indemnify, defend, and hold harmless ConstruChain, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property rights.
- Your Content.
12. Termination
Section titled “12. Termination”12.1 Termination by You
Section titled “12.1 Termination by You”You may request termination of your Account at any time by contacting support@construchain.com.br from the email address associated with the Account. Requests concerning Content of an organization may require the participation of the organization’s authorized administrator.
12.2 Termination by ConstruChain
Section titled “12.2 Termination by ConstruChain”ConstruChain may suspend or terminate your Account if:
- You breach these Terms.
- Your payment method fails and is not resolved within 14 days.
- You engage in fraudulent or illegal activity.
- Required by law.
12.3 Effect of Termination
Section titled “12.3 Effect of Termination”Upon termination:
- Your right to access the Service ceases immediately.
- ConstruChain reserves the right to delete or inactivate your Content after 90 days. Deletion is not automatic; retention follows Section 7.5 and the Privacy Policy.
- Provisions that by their nature should survive termination will survive, including Sections 6, 10, 11, and 13.
12.4 Data Export
Section titled “12.4 Data Export”Prior to termination, you may export your Content through the Service’s export features. ConstruChain is not obligated to retain your data after termination.
13. Dispute Resolution and Governing Law

Section titled “13.1 Governing Law”These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict of law principles.
13.2 Arbitration
Section titled “13.2 Arbitration”Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the courts of São Paulo, Brazil.
13.3 Class Action Waiver
Section titled “13.3 Class Action Waiver”YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
13.4 Exceptions
Section titled “13.4 Exceptions”Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
13.5 EU Users
Section titled “13.5 EU Users”If you are a consumer in the European Union, you may have the right to bring claims in your local courts. Nothing in these Terms affects your statutory rights as a consumer.
14. Modifications to Terms
Section titled “14. Modifications to Terms”14.1 Changes
Section titled “14.1 Changes”ConstruChain reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect.
14.2 Acceptance of Changes
Section titled “14.2 Acceptance of Changes”Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your Account.
14.3 Version History
Section titled “14.3 Version History”Previous versions of these Terms are available upon request.
15. General Provisions
Section titled “15. General Provisions”15.1 Entire Agreement
Section titled “15.1 Entire Agreement”These Terms, together with our Privacy Policy and any additional agreements you enter into with ConstruChain, constitute the entire agreement between you and ConstruChain regarding the Service.
15.2 Severability
Section titled “15.2 Severability”If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Section titled “15.3 Waiver”ConstruChain’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
15.4 Assignment
Section titled “15.4 Assignment”You may not assign or transfer these Terms without ConstruChain’s prior written consent. ConstruChain may assign these Terms without restriction.

Section titled “15.5 Notices”Notices to you may be sent to the email address associated with your Account. Notices to ConstruChain should be sent to support@construchain.com.br.
